Annex E — Sponsorship Services

Introduction
This Annex forms an integral part of the Secondgear Terms and Conditions of Use (the "Terms") pursuant to Section 4.3 thereof and sets out the details of Section 22.
Please note — different nature of the relationship. Unlike Sale Contracts, to which Secondgear is not a party, Sponsorship Services are provided directly by Secondgear to the Seller. Secondgear is therefore a contractual party and is liable for them within the limits of the law.
PART I — DESCRIPTION OF THE SERVICES
E.1 — Listing Boost
Subject. The service increases the visibility of one or more specific Listings by:
a) placing the Listing in dedicated and graphically distinct spaces within catalogue pages, search results and promotional sections;
b) marking it "Sponsored" under Section E.9.
Selection of Listings. The Seller selects the Listings to be sponsored at the time of purchase. A single purchase may cover several Listings.
What the service does not do. The service does not alter the organic ranking of the other search results and does not change the ranking criteria referred to in Section 21.1 of the Terms for non-sponsored Listings.
E.2 — Gear Depot Boost
Subject. The service increases the visibility of the Seller's storefront as a whole by placing the Gear Depot in dedicated spaces and featuring it in the Platform's discovery sections.
Scope. The service concerns the storefront, not individual Listings: it does not entail marking individual Items "Sponsored", and they remain subject to organic ranking.
E.3 — Available durations
Sponsorships are available, for both Listing Boost and Gear Depot Boost, in the following durations:
3 days, ending at the end of the third day;
7 days, ending at the end of the seventh day.
The duration runs from confirmation of payment, not from the date of the order. Activation is normally immediate; any technical delays postpone the end date by a corresponding period.
E.4 — Territorial scope
At the time of purchase, the Seller chooses the territorial scope of the Sponsorship:
national: the increased visibility is reserved for Users browsing the Platform from Italy;
international: the increased visibility extends to Users in the other countries served.
The choice of scope does not affect the fee.
International scope in no way changes the rules referred to in Sections 14 and 15 of the Terms. An Item that cannot be purchased in a given country because it exceeds the kinetic energy limits, or because of the restrictions applicable to the United Kingdom, remains non-purchasable even if sponsored: the Sponsorship increases its exposure, not its purchasability.
The Seller is warned that purchasing an international Sponsorship for an Item that cannot be purchased in the destination countries may be of no use. This does not give rise to any refund.
PART II — FINANCIAL TERMS
E.5 — Price list
All amounts are expressed in euro and are not subject to VAT under Article 1, paragraph 58, of Italian Law 190/2014: the amount shown is the full amount due.
Listing Boost, for each sponsored Listing:
3 days: €1.50;
7 days: €2.50.
Gear Depot Boost:
3 days: €5.00;
7 days: €8.00.
E.6 — Multi-purchase discount
When Listing Boost is purchased for two or more Listings together in the same transaction, a ten per cent discount applies to the total fee.
The discount:
applies only to Listing Boost, not to Gear Depot Boost;
requires the purchases to be made together, in a single transaction;
does not apply by combining purchases made at different times, even if close together;
cannot be combined with other promotions, unless otherwise indicated.
E.7 — Payment and tax document
Payment is made at the time of purchase through the payment service provider referred to in Section 10.1 of the Terms.
The service is activated upon confirmation of payment. If the payment fails, the order is cancelled and the service is not activated.
Secondgear issues and makes available to the Seller the tax document, in accordance with Section D.9 of Annex D.
PART III — CONTRACTUAL TERMS
E.8 — Conclusion of the contract
The contract is concluded between Secondgear and the Seller when payment is confirmed. The Seller receives confirmation on a durable medium, stating the service purchased, the duration, the scope and the fee.
Before the purchase is confirmed, the following are in any case shown: the service chosen, the Listings or Gear Depot concerned, the duration, the scope, the total fee and any discount applied.
E.9 — Advertising transparency
In accordance with Article 26 of Regulation (EU) 2022/2065 and Article 22-bis of the Consumer Code, every sponsored Listing is presented to Users in a clear, concise and unambiguous manner, by means of:
a) the text label "Sponsored", visible in real time on the Listing;
b) placement in spaces graphically distinct from organic results.
A User viewing a sponsored Listing may at any time consult Section 21 of the Terms to find out how the fee affects placement.
E.10 — Private Seller's right of withdrawal
With regard to this contract, the Private Seller is a Consumer and has the fourteen-day right of withdrawal under Article 52 of the Consumer Code.
Request for immediate performance. Since the service is by its nature performed immediately, at the time of purchase the Private Seller is asked to:
a) expressly request that performance of the service begin before the withdrawal period expires;
b) acknowledge that, once performance is complete, they will lose the right of withdrawal, pursuant to Article 59(1)(a) of the Consumer Code.
Both statements are made by ticking checkboxes that are not pre-ticked.
Withdrawal during performance. A Private Seller who withdraws while the service is being performed must pay an amount proportionate to the service already provided up to the time of the notice of withdrawal, calculated on the ratio between the days used and the duration purchased, pursuant to Article 57(3) of the Consumer Code. The difference is refunded within fourteen days.
How to withdraw. The right of withdrawal is exercised by writing to [email protected], including by using the model form in Section B.9 of Annex B, suitably adapted.
Professional Seller. The Professional Seller has no right of withdrawal, as they are not a Consumer.
E.11 — No guarantee of results
Secondgear guarantees the display of the Listing or Gear Depot in the dedicated spaces for the duration purchased.
Secondgear does not guarantee any result in terms of views, contacts received, additions to cart or sales concluded. The commercial outcome depends on factors beyond Secondgear's control, including the asking price, the quality of the Listing, market demand and competition.
Failure to achieve a commercial result does not give rise to any refund, nor to an extension or repetition of the service.
E.12 — Early termination without refund
The Sponsorship ends early, with no right to any refund, extension or recovery of the remaining period, in the following cases:
sale of the sponsored Item (Listing Boost);
removal of the Listing on the Seller's initiative (Listing Boost);
marking of the Item as unavailable on the Seller's initiative (Listing Boost);
closure of the Gear Depot on the Seller's initiative (Listing Boost and Gear Depot Boost);
removal of the Listing for breach of the Terms or Annex A (Listing Boost);
suspension or closure of the Account for breach of the Terms (Listing Boost and Gear Depot Boost).
Where termination follows a measure taken by Secondgear, the Seller may still lodge a complaint under Section 20.5 of the Terms. If the complaint is upheld, the Sponsorship is restored for the remaining period or, where this is no longer possible, a proportionate refund is made.
E.13 — Refund for non-provision or defective provision
Where the Sponsorship has not been provided, in whole or to a substantial extent, for reasons attributable to Secondgear — for example because of a technical malfunction, prolonged unavailability of the Platform or incorrect activation — the Seller is entitled to:
a) a full refund of the fee, where the service was not provided at all;
b) a proportionate refund, where the service was only partly provided;
c) alternatively and by agreement between the parties, an extension of the Sponsorship for a period corresponding to the one not used.
The request must be made within fourteen days of the end of the Sponsorship period, by writing to [email protected] and providing supporting information. Secondgear replies within thirty days.
Any other rights of a Consumer Seller under Articles 128 et seq. of the Consumer Code on the conformity of services remain unaffected.
E.14 — Changes
Changes to the fees, durations, scopes and features of the Sponsorship Services are notified with the notice period of no less than fifteen days referred to in Section 27 of the Terms.
Changes do not affect Sponsorships already purchased, which continue until they naturally expire on the terms in force at the time of purchase.
E.15 — Suspension of the service
Secondgear may suspend an ongoing Sponsorship, giving reasons, where the sponsored Listing is the subject of a well-founded notice under Section 20.2 of the Terms, or where there is a well-founded suspicion of a breach.
A precautionary suspension does not count towards the duration: once it is established that there was no breach, the Sponsorship is restored for the remaining period.
E.16 — Limitation of liability
Section 24 of the Terms applies to Secondgear's liability for Sponsorship Services, without prejudice to the mandatory exceptions referred to in Section 24.4 thereof and, in particular, to the fact that the limitations do not apply to the Private Seller as a Consumer.
